Gildre Member Code of Conduct

This Gildre Member Code of Conduct (the "Code") is entered into on the acknowledge date, by and between the individual member (the "Member") and Gildre, an Illinois LLC (the "Company"), collectively referred to as "the Parties." The purpose of this Code is to establish the terms and conditions of the Member's invitation to Gildre and to outline the rights and responsibilities of the Member and the Company.

1. Membership. The Member agrees to abide by the terms and conditions of the Gildre Code of Conduct, which governs their overall membership with the Company. This Code specifically pertains to the Member's participation in the mentoring program provided by the Company and engagements with other members.

2. Duties & Responsibilities. The Member acknowledges that the mentorship relationship is not a legal partnership but a traditional fellowship engagement. All parties involved, including the Member, must fulfill their obligations for the relationship to be successful. The Mentor agrees to adhere to professional ethics and standards of behavior expected of mentors. These services are through volunteer mentors within the community, and Member agrees to indemnify mentors and Gildre for any actions taken by Member derived from their conversations.

3. Non-Solicit. At any point during Membership in the Gildre Community, the Member agrees not to directly or indirectly solicit or encourage any members to purchase additional services from the Member. Exceptions to this provision may be granted on a case-by-case basis upon the Member's written request and subsequent approval by Gildre.

4. Indemnification. The Member shall, to the fullest extent permitted by law, defend, indemnify, and hold harmless the Company and each member, manager, officer, employee, attorney, agent, independent contractor, shareholder, and affiliate of Company (collectively, the Indemnified Parties) against any and all actions, claims, (whether or not valid), losses, damages, liabilities, costs, and expenses of any kind of nature whatsoever.

5. Side Party Agreements. Before engaging in any form of professional relationship related to an Advisory role with a Member's designated 1:1 mentor outside of this Agreement, the Member must pay a one time placement fee ($500 per advisor). All placement fees are waived for Platinum and Diamond Tier members after 3 months of membership in the respective tier. If a Member engages or contracts the Mentor for any Advisory Board/Board of Director service, the Member and Mentor will inform the Gildre team.

6. Termination of Agreement. This Agreement shall remain in effect for the duration of the Member’s active Gildre Membership.

7. Mutual Promotion. Company and Member may use either name, likeness, and image and quotes, in promotional materials, including press releases, presentations, and client or customer references regarding the Company upon written consent. At the request of either party, usage within control of the entity will be changed, edited, and or removed within 7 days of the request. You may request consent via info@gildre.com.

8. Entire Agreement. This document constitutes the entire agreement between the Member and the Company, encompassing the complete understanding of the Parties regarding the subject matter. This Agreement supersedes all prior written and oral representations. It may only be amended, altered, or supplemented through a written agreement signed by both the Member and Gildre.
